Terms and Conditions for users of advarics.payment solutions

 

1. Scope

These Terms and Conditions govern the use of Stripe payment services within the framework of the "advarics" merchandise management and POS software by retailers ("Contractual Partners") with brick-and-mortar and online points of sale.

 

2. Contractual Partner & Registration

The Contractual Partner enters into a contract with Stripe Payments Europe Limited (SPEL) for the use of "advarics.payment". Use of Stripe services requires registration and acceptance of the current Stripe Service Agreements (https://stripe.com/de/legal/ssa). The Stripe Services Agreement is legally binding in English. Contractual partners are obliged to regularly inform themselves about changes and to accept them. 

 

3. Payment processing (stationary & online)

Payment processing is carried out via Stripe in accordance with the Stripe Service Agreements. For stationary retail, the Stripe terminals must be configured correctly in accordance with the specifications of advarics and Stripe.

For online commerce, the legal requirements for distance selling contracts also apply, in particular information obligations, the right of withdrawal, and data protection.

The Stripe fee structure is communicated transparently to the contractual partner prior to conclusion of the contract as part of the "advarics.payment" contract.

 

4. Fees and price changes by card providers and Stripe

The transaction and network fees incurred for payment processing via Stripe are based on the currently valid price lists of the card providers (e.g., Visa, Mastercard, American Express) and the Stripe Service Agreements. Stripe may adjust the calculation of fees retroactively if card providers or payment networks change their fees or if Stripe subsequently receives relevant information from its financial partners.

Stripe reserves the right to change the fee structure and the amount of the fees at any time. You will be informed of any upcoming changes in good time. Continued use of Stripe's services after the new fees come into effect constitutes acceptance of the changed terms and conditions.

The current fees can be viewed in the Stripe Dashboard and in the Stripe Price Overview. Individual price agreements between advarics and the contractual partner may contain deviating provisions.

 

5. Data protection & data processing

Stripe processes personal data in the context of payment processing. The contractual partner undertakes to inform its customers about data processing by Stripe in its privacy policy and to comply with the GDPR.

The data protection regulations of advarics and Stripe must be observed. Online shops require a legally compliant privacy policy that explicitly mentions Stripe as a payment service provider.

 

6. Obligations of the contractual partner

The contractual partner is responsible for the correct provision of the necessary network and internet infrastructure for the operation of the Stripe payment terminals. For its own web shops, the contractual partner or service providers commissioned by it is responsible for the correct integration of Stripe's API/checkout solution.
The contractual partner undertakes not to process any abusive or illegal transactions via Stripe. The contractual partner indemnifies advarics and Stripe against any third-party claims arising from the illegal use of the payment services.

 

7. Obligations of advarics

advarics is the responsible contact for the contractual partner for the use of Stripe.

advarics agrees on the fees and conditions for the use of the Stripe platform, the payment terminals, and the transactions in the respective advarics.payment contract between the contractual partner and advarics.

Advarics shall carry out the technical integration of Stripe solutions into advarics products, make any necessary changes and updates at its own expense, and provide support for these. Advarics shall not integrate any APIs/checkout solutions from Stripe into third-party web shop systems.

Advarics provides first-level support for the payment terminals and their connection to the advarics software systems. The support times for the operation of the payment terminals are based on the official support times published on the website www.advarics.net/support.

 

8. Stripe's responsibilities

Stripe is responsible for providing and operating the payment platform, payment terminals, and API/checkout solutions. In accordance with the respective fee agreements and the individual configurations of the contractual partner on the Stripe platform, Stripe is responsible for paying out the amounts collected by the contractual partner via the Stripe infrastructure, less the fees agreed in the "advarics.payment" contract.

 

9. Liability

The liability of advarics and Stripe is limited to intent and gross negligence. The contractual partner is solely responsible for the accuracy of the data provided by the contractual partner and for compliance with legal requirements.

 

10. Revocation & Termination

The use of Stripe services may be revoked or terminated at any time by the contractual partner and by Stripe in accordance with the Stripe Service Agreements. If a minimum rental period is agreed upon in the "advarics.payment" contract for the use of Stripe payment terminals, this shall apply and can only be terminated with due notice upon expiry of the minimum rental period. 

 

11. Special notes for online shops

The terms and conditions, legal notice, and privacy policy must be easy to find and accessible at all times. The customer must be made aware of the terms and conditions before completing the order process (e.g., checkbox at checkout). The terms and conditions must be made available to the customer in text form at the latest upon delivery of the goods.
The statutory information requirements (e.g., regarding prices, delivery times, right of withdrawal, warranty) apply.

 

12. Final provisions

The law of the country in which the contractual partner is based applies. Amendments and additions to these GTC must be made in writing. In all other respects, the Stripe Service Agreements in their current version are an integral part of these GTC. 

 

13. Legal notices

The Stripe Service Agreements are binding for the contractual partner and, in case of doubt, take precedence over these GTC. The contractual partner should regularly check whether the terms of the Stripe Service Agreement have changed and adjust processes accordingly if necessary.
